CORE OF THE CASE
Full legal support of the sale of a business center with a total area of more than 8,000 sq.m. located in the center of Moscow (Boulevard Ring) to the buyer PJSC Gazprom Bank as part of the bankruptcy of Coliseum-3 CJSC.
SCOPE OF SERVICES
- Examination of all documents related to the object of the transaction, including documents of title, licenses, permits, etc.
- Preparation and legal review of the sale and purchase agreement, including terms of sale, payment, transfer of ownership and other material terms.
- Checking the “legal cleanliness” of the parties to the transaction: liens, restrictions on ownership, etc.
- Drawing up and registration of documents with the authorized bodies, and ensuring their correct registration.
- Providing the client with legal advice and recommendations at each stage of the transaction, including taxation, legal protection and obligations of the parties.

The sale of the underlying asset under the agreement saved our client from a severe price reduction in a bankruptcy auction.
In addition, the beneficiary received favorable terms for exiting bankruptcy.
We helped our client save the company as a result of the sale of an asset covering the debts of the creditor initiating the bankruptcy.
