• Development of an organizational and legal scheme for project implementation.
• Written and oral advice on all issues arising from the customer in the process of project implementation.
• Examination of legal risks arising in the course of project implementation, development of organizational and legal ways to minimize risks.
• Advice on tax issues arising in the course of project preparation and implementation.
• Advice on the acquisition of rights to land plots, including municipal lands, establishing easements during the construction of linear infrastructure facilities, preparing the necessary documentation – contracts, protocols, letters, appeals, etc.
• Participation in negotiations with state and local government authorities on project implementation issues (if necessary).
• Development and legal expertise of a package of documents that ensure the implementation of the Project, including:
– documents, which must be adopted by legal entities involved in the implementation of the project, corporate decisions on transactions;
– agreements on the acquisition of rights to land plots;
– investment agreements, amendments and additions to them, implementation/partial implementation acts and other necessary documents as part of the investment agreement;
– contracts with specialized companies involved in the implementation of the project, including contracts for the performance of customer functions, development of project documentation, contracted works, etc.;
– agreements with authorities, state and municipal monopoly organizations;
– development of a full range of contracts aimed at the commercial sale of facilities.
• Participation in negotiations with contractors in the course of concluding and executing contracts.
• Development of methods to ensure the fulfillment of contractual obligations by counterparties, preparation of claims in case of non-fulfillment of obligations. • Preparation of legal documents necessary for the transfer of rights for the management of engineering and technical facilities to the customer’s management company.
• Advice on other issues arising from the customer in the course of project implementation.
